OFFICIAL RULES, TERMS, AND CONDITIONS

Before participating in the Mitsubishi Electric US, Inc. Visual and Imaging Systems Division Photo Printers Free Media Giveaway (the “Giveaway”) participants (“You” or “Participant”) must read the following rules, terms, and conditions (“Rules”) carefully. You agree that your participation in the Giveaway constitutes your agreement to the Rules, which is a binding agreement between you and the Sponsor of this Giveaway.

SPONSOR: The Sponsor of this Giveaway is Mitsubishi Electric US, Inc., Visual and Imaging Systems Division (“Sponsor”).

ELIGIBILITY: This Giveaway is open only to legal U.S. residents over the age of eighteen (18) in the 50 states.  Employees of Mitsubishi Electric US, Inc.  and all related affiliates and organizations, agents, employees, officers, contractors and agents (hereinafter “Related Entities”), and their immediate families, are not eligible. The Giveaway is subject to all applicable federal, state and local laws and regulations and is void where prohibited by law.

GIVEAWAY PERIOD: Online entries can be uploaded starting 12:00 am Pacific Time on November 8th, 2019. The deadline for submitting entries is 11:59 pm Pacific Time on March 20, 2020. Sponsor reserves the right, in its sole discretion, to modify, suspend or terminate the Giveaway for any reason whatsoever including but not limited to viruses, bugs, frauds or other causes beyond the control of Sponsor which may interfere with the administration of the Giveaway. If so interrupted, the prize(s) may be awarded by selecting from eligible Submissions received up to the date/time of suspension or termination of the Giveaway. Sponsor is not responsible for late, lost, incomplete, misdirected entries, hardware, application, software malfunction, delays in transmission, or damage to Participant’s or any other person’s computer in connection with the Giveaway. Sponsor is not responsible for incomplete or inaccurate entry information caused by any source, including without limitation, equipment, programming or code associated with or utilized in the Giveaway, or by any technical or human error which may occur in the processing the Submissions.

SUBMISSION REQUIREMENTS: Each Submission must be original and unpublished work that may be used by the Sponsor for marketing and promotion of the Mitsubishi Electric Photo Printers line (“the Submission”). The Submission should be thematic, intelligent, creative, and adhere to the following guidelines:

• One unique Facebook comment or Facebook post entry commenting the submitter’s review or impression of his/her use of the Mitsubishi Electric CP-M1A printer on Facebook.
• And/or, one unique video post reviewing the Mitsubishi Electric CP-M1A printer on Facebook.
• Tagging @MitsubishiPhotoImaging in the review post and using the hashtag #M1AReviewContest.

ELIGIBILITY AND SELECTION:  Participants who provide an honest review of the CP-M1A Printer in accordance with the Submission Requirements will be eligible for the following:

• One (1) box of CK-M46S 4×6” media for each submitted text review posted on our facebook page, or
• Two (2) boxes of CK-M46S 4×6” media for each video review posted on our facebook page.
• Media given away is mutually exclusive where the larger of the two eligible giveaways will be the sole item given to the eligible user. Each user is only eligible for a maximum of two(2) CK-M46S 4×6” media regardless of the number of reviews posted.  For example, if a user posted both a text and a video review, user will only receive two(2) boxes of CK-M46S media.
• Media prizes for eligible participants will be given away within 3 weeks of verified posting and reviews.
• One (1) CP-M1A Printer will be awarded for the Submission that receives the highest level of engagement as of March 20, 2020, which will be determined by a combination of total reactions, total reach, total comments, total shares, and total clicks.
• CP-M1A Printer prize will be awarded and shipped out to winning participant no later than noted above no later than April 25, 2020.

NOTIFICATION OF WINNERS/RELEASES: Giveaway winners will be notified by e-mail and will be required to provide name and a U.S. shipping location for products. Prizes are non-transferable. Winners are solely responsible for any state and federal taxes on his/her prize. Every Facebook comment review Submission will receive a free box of 4X6 media. Every Facebook video review Submission will receive two (2) free boxes of 4×6 media. In March 20, 2020, the Submission with the highest level of engagement will win a free Mitsubishi Electric CP-M1A printer.

If a notified winner fails to respond to Sponsor within five (5) business days from the date of notification, he or she will be considered to forfeit and will be disqualified, and an alternate winner with the next highest level of engagement will be selected. If a selected winner fails to comply with the Rules or fails to submit the required documentation and information within the designated period, or the prize is undeliverable, such winner will be considered automatically disqualified and the prize will be awarded to an alternate winner. Prize(s) will be awarded provided a sufficient number of eligible review entries are received and properly posted. Eligibility, age, and claims made by a winner shall be subject to verification. Prize(s) will be sent to the verified Winner(s) by ground shipment.

IDENTITY OF WINNER: In the event of a dispute as to the identity of a winner based on an e-mail address or social media profile, the winning Submission will be declared made by the authorized account holder of the e-mail address or social media account submitted at the time of entry. Entries generated by or users of automated devices for entry and participation are not eligible and will not be considered as valid entry for participation in the Giveaway.

PARTICIPATION AND PUBLICITY: As a condition to participation in the Giveaway, you agree to allow Sponsor the perpetual and irrevocable right to use your name, biographical information, video, photo, likeness, and statements for promotion, advertising, marketing and publicity purposes in all media now known or hereafter discovered, worldwide, in perpetuity, without notice, review or approval and without additional compensation to you except where prohibited by law. You agree to waive and not assert any rights, including any intellectual property rights, you may have in the Submission. If you win the Giveaway, you agree to participate in any media events and promotions as reasonably requested by Sponsor at Sponsor’s expense. Your participation in the Giveaway or the award of any prize thereof shall in no event be construed to give rise to an employment, endorsement, offer, partnership, or joint venture relationship between you and the Sponsor.

GRANT OF LICENSE: As a condition of participation in the Giveaway, You hereby grant Sponsor an exclusive, perpetual, transferable, irrevocable, worldwide,   license to broadcast, publish, store, use, reproduce, distribute, syndicate, modify, and create a derivative work from, and otherwise exhibit the Submission for any purpose in all media now known and later come into being for purposes of trade or advertising without attribution or compensation to you. Submissions will not be returned. The sponsor retains all rights in Sponsor’s products and the Mitsubishi Electric brand. In no event shall your participation in the Giveaway be construed to transfer any intellectual property rights of the Sponsor or its Related Entities to you. Sponsor is under no obligation to use any Submission.

REPRESENTATIONS, WARRANTIES, AND INDEMNIFICATION: By participating in the Giveaway, You represent and warrant that (i) the Submission is your original work, and that you are the exclusive owner of the Submission, including all rights in and to any content, material, design element, text, and images incorporated into the Submission, (ii) no other person or entity, including any third party designer or artist, has any rights to, or ownership interest in the Submission, (iii) the Submission does not infringe upon the rights, including without limitation, the intellectual property rights of any third party, (iv) You have not granted anyone else the right or act for You in any manner that would conflict with your representations herein, (v) You have the right to submit the Submission for this Giveaway pursuant to the Rules, and (vi) Your participation in the Giveaway and the Submission does not violate any applicable local, state, or federal law. Sponsor reserves the right to void and/or disqualify any Submission, if found in Sponsor’s sole discretion, to be inconsistent with the above representations and warranties, plagiarize, infringes upon existing rights of others, or is deemed obscene, vulgar, offensive or otherwise unsuitable for Sponsor’s intended use.

To the maximum extent permitted by law, You agree to indemnify, defend and hold harmless Sponsor and Related Entities from any and all third party liability for any injuries, loss, claim, action, demand, damage, attorneys’ fees, and costs, and loss of any kind or nature arising from or in connection with the Giveaway (collectively, “Losses”), including without limitation any third party claim for infringement or a violation of any person or entities privacy, publicity, copyright, trademark, trade dress, or other intellectual property rights, any misrepresentation made by you, or your failure to comply with the Rules.

This Giveaway is in no way sponsored, endorsed, or administered by, or associated with Facebook.  By participating in this Giveaway, You also agree to a complete release of Facebook from any Losses.

CHOICE OF LAW AND LIMITATION OF LIABILITY: The Rules shall be governed by, subject to, and construed in accordance with the laws of the State of California, United States of America, excluding all conflict of law rules. If any provision(s) of the Rules is held to be invalid or unenforceable, all remaining provisions hereof shall remain in full force and effect. You agree that any and all claims relating to, arising out of, or in any way connected with this Giveaway, shall be resolved individually, without resort to any form of class action in arbitration.

IN ANY DISPUTE ARISING FROM OR IN ANY WAY RELATED TO THE TO THE RULES OR THE GIVEAWAY, NEITHER SPONSOR OR PARTICIPANT SHALL BE ENTITLED TO ANY PUNITIVE, SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING WITHOUT LIMITATION ATTORNEYS’ FEES, OR ANY DAMAGES OTHER THAN PARTICIPANT OR SPONSOR’S ACTUAL OUT-OF-POCKET EXPENSES (IF ANY) ASSOCIATED WITH PARTICIPATING IN THE GIVEAWAY.

ARBITRATION: As a Condition of your participation in the Giveaway, you agree that the exclusive jurisdiction for any dispute, claim, or demand relating to, arising from, and in any way connected to the Giveaway will be decided in binding private arbitration and submitted to American Arbitration Association in Santa Ana, California. The cost of Arbitration shall be paid equally by the parties.
